These Terms of Service ("Terms") govern your use of products and services operated by Brainchild Startups LLC ("we", "us", "our"), including MicroAPIs, BidBlitz, and SHIFT.

1. Acceptance of Terms

By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

2. Description of Services

Brainchild Startups LLC provides software-as-a-service (SaaS) products and developer APIs. Specific features, pricing, and limitations vary by product and subscription tier.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials and API keys
• You must notify us immediately of any unauthorized use of your account
• One person or entity per account unless otherwise agreed

4. API Usage

• API keys are for your use only and must not be shared publicly
• You agree to respect rate limits and usage quotas for your subscription tier
• Automated abuse, scraping of our service, or attempts to circumvent rate limits are prohibited
• We reserve the right to revoke API keys that violate these terms

5. Payment and Billing

• Paid plans are billed monthly through Stripe
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days notice
• Failure to pay may result in service suspension

6. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Send spam, phishing, or malicious content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service for other users
• Reverse engineer or attempt to extract source code
• Use the service for any illegal or harmful purpose

7. Intellectual Property

All content, code, and branding associated with our products are the property of Brainchild Startups LLC. Your subscription grants you a license to use the service, not ownership of any intellectual property.

8. Limitation of Liability

Our services are provided "as is" without warranties of any kind. Brainchild Startups LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Service Availability

We strive for high uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice for planned maintenance.

10. Termination

• You may cancel your subscription at any time
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your right to use the service ceases immediately
• We may retain certain data as required by law

11. Changes to Terms

We may modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms. Material changes will be communicated via email or service notification.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which Brainchild Startups LLC is registered.
